This is not a conventional legal advisory position where the candidate only reviews contracts or provides occasional opinions.

The person appointed will be the first India-based legal counsel for Unseen Realities and will act as the principal legal contact for Analog’s operations in the country.

The selected lawyer will report directly to the Chief Legal Officer of Analog and work closely with the company’s legal team in Abu Dhabi.

The position is full-time and requires working from the Hyderabad office.

Eligibility Criteria

Candidates applying for this position must possess an LL.B., BA LL.B. or an equivalent law degree from a recognised Indian university.

Applicants must also be qualified to practise law in India, including enrolment with a State Bar Council under the Advocates Act, 1961. The advertisement permits an enrolment status that is suspended for the duration of full-time salaried employment.

The company requires a minimum of 10 years of post-qualification experience.

Candidates should have substantial experience in Indian corporate law, company governance, statutory filings and commercial contracts.

The employer is particularly interested in lawyers who have independently handled board and shareholder matters, corporate restructuring activities and regulatory compliance requirements.

Experience in negotiating complex commercial agreements, advising senior management and supervising external legal counsel will also be important.

Applicants must be comfortable working independently because the selected professional will initially be the sole India-based member of Analog’s legal team.

Roles and Responsibilities

The selected candidate will manage a wide range of legal responsibilities connected with Analog’s Indian operations.

A major part of the work will involve corporate governance and compliance under the Companies Act, 2013. The lawyer will oversee board meetings, shareholder resolutions, statutory registers, corporate filings and other company secretarial matters.

The position also involves handling corporate actions such as share transfers, share issuances, changes in company management and documentation relating to investments.

Another important responsibility concerns commercial contracts.

The lawyer will draft, review and negotiate master services agreements, software licensing contracts, technology arrangements, procurement agreements, confidentiality agreements and other commercial documents.

The selected candidate will also examine legal issues arising from partnerships, distribution agreements, joint ventures and contracts with technology vendors.

Since Analog operates internationally, the role involves coordinating with legal professionals outside India on matters involving group companies and cross-border business arrangements.

The candidate will also manage legal requirements associated with foreign investment, exchange control regulations and joint venture arrangements.

Regulatory Compliance and Technology Law

Analog expects the selected lawyer to advise its Indian business on applicable legal and regulatory requirements.

This includes compliance with the Companies Act, 2013, foreign exchange regulations, competition law, employment laws and anti-corruption requirements.

Knowledge of the Digital Personal Data Protection Act, 2023, is particularly relevant because the company’s operations involve advanced technology and data-driven systems.

The candidate will be responsible for identifying legal risks arising from business activities and helping the management address them.

The role also covers intellectual property matters, including licensing arrangements, ownership of technology, trademarks, patents and copyright-related issues.

Where necessary, the lawyer will coordinate with external professionals for registration, enforcement and protection of intellectual property rights.

The company also expects the successful applicant to manage disputes, legal notices, arbitration proceedings and litigation matters involving its Indian operations.

Preferred Qualifications

Although prior in-house legal experience is preferred, the company has not made it an absolute requirement.

Candidates who have worked with multinational corporations, technology businesses or Indian subsidiaries of foreign companies may find their experience particularly relevant.

Knowledge of joint venture governance, foreign investment regulations, technology licensing and intellectual property transactions will be useful.

Analog has also indicated a preference for candidates familiar with legal issues involving artificial intelligence, data protection and the regulatory framework applicable to technology businesses.

Experience in dealing with senior executives and managing complex legal projects will be an advantage.

Fluency in English is necessary. Working knowledge of Hindi or Telugu would be beneficial but is not compulsory.

Salary and Benefits

Analog has stated that the Senior Legal Counsel position comes with a competitive compensation package.

However, the company has not disclosed a specific annual salary, salary range or fixed CTC in its official recruitment advertisement.

The actual compensation will therefore need to be confirmed during the recruitment process.

Apart from remuneration, the position offers an opportunity to work with Analog’s international legal team and participate in matters involving artificial intelligence, technology transactions and corporate operations.

The company has also highlighted opportunities for professional development and collaboration with specialists working in AI, robotics and engineering.

Job Location

The selected candidate will work at the offices of Unseen Realities in Hyderabad, Telangana.

This is an on-site position, not a remote job.

Applicants must either be based in Hyderabad or be willing to relocate.

The company has also mentioned that travel within India and occasional international travel may be required depending on business needs.

How to Apply?

Interested candidates can apply through Analog’s official recruitment portal.

Applicants should visit the job advertisement and complete the online application process.

Candidates should prepare an updated CV highlighting their experience in corporate law, commercial transactions, regulatory compliance and company governance.

Lawyers who have handled cross-border contracts, foreign investment matters, technology licensing or joint venture arrangements should clearly mention this experience.

The CV should also explain the applicant’s role in managing external counsel, negotiating commercial agreements and advising senior business management.
