Associate Counsel Legal Role

The Associate Counsel will act as a trusted legal advisor to internal business teams and provide practical guidance on legal and commercial risks. The role covers a broad range of areas, including technology and commercial transactions, employment, data privacy, real estate, and intellectual property.

The selected candidate will work closely with global teams and business functions to support commercial objectives while identifying and mitigating legal risks. The role will also involve working on emerging legal issues relating to software, artificial intelligence, machine learning, SaaS, data privacy, and technology licensing.

Key Responsibilities

The Associate Counsel will draft, review, and negotiate various legal and commercial documents. These may include vendor and service agreements, master services agreements, non-disclosure agreements, memoranda of understanding, consulting agreements, licensing agreements, technology collaboration agreements, and transaction documents involving contract research organisations.

The role will also involve developing and improving legal templates, playbooks, policies, and contracting workflows. The selected professional will work with global legal and business teams to improve the efficiency and consistency of the contracting process.

Another important part of the role will be monitoring legal, regulatory, and industry developments relevant to SaaS, AI and machine learning, software licensing, data privacy, and related technology issues. The Associate Counsel will also communicate the practical implications of these developments to relevant stakeholders.

The position may further involve developing training programmes for cross-functional teams on legal issues, risk management, contract negotiation, and best practices.

Eligibility and Experience

Applicants must have a Bachelor’s degree in Law and at least 8 to 10 years of relevant generalist legal experience.

Candidates should have substantial experience in drafting, reviewing, and negotiating commercial and technology transactions. Experience with SaaS agreements, software licensing, vendor agreements, partner agreements, and confidentiality agreements is particularly relevant to the position.

Applicants should also have working knowledge of legal and regulatory issues concerning data privacy, cybersecurity, intellectual property, and open-source licensing in the technology and software sector.

Strong written and verbal communication skills, critical thinking, analytical ability, sound judgment, and a strategic approach to legal issues are required.

Preferred Qualifications

A Master’s degree in Law and previous in-house legal experience in a technology or SaaS environment are listed among the ideal qualifications.

Experience negotiating complex enterprise SaaS or software licensing agreements can be an advantage. Candidates with experience involving AI technologies, machine learning, data usage, information security, data privacy, intellectual property licensing, and responsible AI commitments may also be particularly suited to the role.

Experience in building or improving contracting processes at scale, including contract intake workflows, approval matrices, template libraries, negotiation playbooks, and sales enablement training, is also considered desirable.
